Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the getsherpa.io website ("Site") and any services provided by Sherpa Marketing LLC, doing business as Sherpa ("we," "us," or "our"). By accessing the Site, submitting a form, or engaging our services, you agree to be bound by these Terms.

1. Services Provided

Sherpa Marketing LLC is a marketing agency serving home-service contractors, providing services which may include, but are not limited to:

• Search Engine Optimization (SEO)
• Pay-Per-Click (PPC) advertising management
• Social Media Marketing (SMM)
• Content creation and strategy
• Website design and development
• CRM setup, automation, and lead follow-up systems

The specific scope of work, fees, payment schedule, and terms for a Client engagement are governed by a separate, written Service Agreement or Statement of Work (SOW) executed between Sherpa Marketing LLC and the Client. In the event of a conflict, the Service Agreement/SOW will take precedence over these Terms.

2. User Obligations

As a User or Client of the Site and services, you agree not to:

• Use the Site for any unlawful purpose
• Upload, post, or transmit any illegal, abusive, harassing, or defamatory content
• Interfere with the security or operation of the Site
• Attempt to gain unauthorized access to any part of the Site or service systems
• Submit a phone number or email address you are not authorized to provide

3. Payment Terms and Service Cancellation

All fees for services are outlined in the separate Service Agreement/SOW. Sherpa Marketing LLC reserves the right to suspend all services if an invoice is overdue. Late payments may incur a late fee as specified in the Service Agreement.

Cancellation of ongoing service agreements must be made in accordance with the termination clause specified in the Service Agreement/SOW.

4. Intellectual Property Rights

Agency IP

All content, designs, logos, and service methodologies developed prior to or outside the scope of a Client contract, or on the Sherpa website, are the property of Sherpa Marketing LLC and are protected by copyright and intellectual property laws.

Client Deliverables IP

Unless otherwise stipulated in the Service Agreement, Sherpa Marketing LLC typically assigns full intellectual property rights to the Client for all final, client-specific deliverables (e.g., ad copy, graphics, SEO reports) upon full payment of the final invoice.

6. Email Communications

By submitting your email address, you agree that we may contact you by email regarding your inquiry and our services. Marketing emails include an unsubscribe link in every message, and you can opt out at any time by using that link or by emailing kora@getsherpa.io. Opting out of email does not opt you out of text messages, and vice versa.

7. Disclaimer of Warranties and Limitation of Liability

Marketing Results

Sherpa Marketing LLC provides services with reasonable care and skill but does not guarantee specific results, rankings, or revenue increases. Online marketing results are dependent on numerous factors, including search engine algorithms, competitor actions, and market trends, which are outside of our control.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Sherpa Marketing LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; (iv) unauthorized access, use or alteration of your transmissions or content; and (v) any delayed or undelivered text message, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Indemnification

You agree to indemnify and hold harmless Sherpa Marketing LLC and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site or our services, your submission of a phone number you were not authorized to provide, or your violation of these Terms.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

10. Changes to Terms

Sherpa Marketing LLC reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last updated" date.
